As indicated in a previous newsflash, the Luxembourg Business Registers (the “LBR”) has, since 12 November 2024, implemented certain changes to the publication formalities with the Luxembourg Trade and Companies Register (Registre de Commerce et des Sociétés, Luxembourg – the “RCSL”) including in particular the requirement for entities to request and/or register the Luxembourg national identification number (the “LNIN”) of any natural persons (to be) registered with the RCSL in any capacity whatsoever (such as a shareholder, manager/director or supervisory auditor…)[1].
The LBR has now announced (on 3 March 2025) that the registration of LNINs by existing entities for natural persons registered with the RCSL will remain free of charge until 31 May 2025, after which the specific filing for the update of LNINs will be subject to a fee.
The LBR has also indicated that, as from 1 October 2025, entities and individuals failing to register/update their LNINs may face restricted access to filing formalities. The LBR could, after such a date, block RCSL filings for all entities concerned until they effectively regularize their LNIN status.
On the other hand, the verification and validation of Luxembourg addresses shall remain free. It may be carried out at the same time another filing with the RCSL is made (for instance, at the time of registration of the renewal of the mandates of directors/managers).
